Corporate Law Clerk

Our client, a global law firm is seeking an experienced Senior Corporate Law Clerk to join their Corporate Services team. This role requires a confident, dependable professional who thrives in a fast-paced environment and can effectively manage multiple priorities as they evolve. The successful candidate will be highly organized, demonstrate exceptional client service, and maintain a confidential approach to their work. A strong ability to multitask, keen attention to detail, and a genuine interest in being an early adopter of new technologies are essential for success in this role.

Responsibilities :

  • Completes all levels of corporate paraprofessional work assignments and legal duties under the supervision of lawyers
  • Prepares corporate documentation relating to incorporations, organizations, amendments, continuances, amalgamations, extra-provincial registrations, dissolutions, share and asset purchases, corporate reorganizations, etc.
  • Manages and maintains updated corporate database and corporate records
  • Works with lawyers across multiple offices to attend to OBCA and CBCA transactions, filings, and registration equivalents
  • Reviews and analyzes corporate minute book records and recommends the appropriate actions to update records and rectify deficiencies, including drafting the required documentation
  • Uses relevant information and individual judgment to determine whether events or processes comply with laws, regulations, or standards
  • Handles general corporate work, including government filings, and responds to inquiries from within and outside the organization
  • Provides mentorship and training to more junior team members
  • Other duties as assigned

Qualifications:

  • 10+ years of experience as a corporate paraprofessional in a corporate services department of a law firm
  • In-depth knowledge of legal procedures, statutes, and regulations applicable to commercial and corporate law
  • Ability to manage files from start to finish
  • Strong interpersonal skills with the ability to deal with all stakeholders professionally
  • Ability to multitask and meet multiple deadlines under pressure
  • Demonstrates initiative and ability to work with minimal supervision
  • Excellent organizational skills, accuracy, and attention to detail
  • Strong written and verbal communication skills
  • Flexible team player
  • Institute of Law Clerks of Ontario Certification and membership considered an asset
  • Proficiency with Athennian, Ecore, and DocuSign is an asset
